These terms have two parts. The first covers this website. The second applies to every project Huyuzu takes on, together with the written quote or agreement for that project. If the quote and these terms disagree, the quote wins. Starting a project, paying a deposit or approving a quote means you accept these terms.
Part 1: This website
The text, design, logo and code of this site belong to Huyuzu unless stated otherwise. Project screenshots are shown with the context of the work they came from. Please don’t reuse them without asking.
Service descriptions explain what Huyuzu can take on. They are not a quote, an offer or a guarantee of results. Tools marked as prototype, next up or planned are not available products. The site is provided as it is, and Huyuzu is not liable for losses from using it or relying on general information on it.
Part 2: Client projects
Quotes and scope
- Every project starts with a written quote setting out the scope, price and timeline. Quotes are valid for 30 days.
- Only what is written in the quote is included. Anything else, including new pages, features, integrations or content, is a change request. Change requests are quoted separately and may move the timeline.
- Two rounds of revisions are included at each design and build stage unless the quote says otherwise. Further rounds are charged at the hourly rate in the quote.
Deposit and payment
- Deposit: work starts once a deposit of 50% (or the amount in the quote) is paid. The deposit reserves time in the schedule and is non-refundable once work has started.
- The balance is due before launch or handover. Source files, logins and ownership are handed over only once every invoice is paid in full.
- Invoices are due within 14 days. If a payment is late, work may be paused until it is paid, and the timeline moves by at least the length of the pause.
- Monthly services (maintenance, hosting management, retainers) are billed in advance and can be cancelled with 30 days’ written notice. Fees already paid are not refunded.
- Prices do not include third-party costs such as domains, hosting, paid apps, themes, fonts, stock media, API usage or payment gateway fees. You pay these directly or they are passed on at cost.
- If you dispute a charge, please raise it with Huyuzu first. Filing a chargeback for work that was delivered as quoted is a breach of these terms.
Your part
- You provide content, logins, feedback and approvals on time. Timelines assume replies within 5 working days. Delays on your side move the timeline and are not a reason to withhold payment.
- If a project is left waiting on you for 30 days, it may be closed and the work done so far invoiced. Restarting it later may need a new quote.
- You confirm you own or have permission to use everything you send (text, images, logos, data), and that your product, content and instructions are lawful.
- Launch sign-off is your approval that the work matches the quote. Please test before you approve.
- You are responsible for keeping your own backups of your content and data, and for the security of the passwords and accounts you control.
Maintenance
Basic maintenance is included for the maintenance period stated in your quote, or for 30 days after launch if the quote doesn’t state one. After that it is available as a monthly plan. Basic maintenance covers:
- fixing bugs in work Huyuzu delivered, so it works as it did at launch;
- small content edits: text, images, links and prices on existing pages;
- routine security, plugin and dependency updates, and checking the site is up.
Basic maintenance does not cover, and these are always quoted and charged separately:
- heavy rebuilds, redesigns or restructuring of pages, sections or systems;
- new pages, features, integrations or data migrations;
- fixing problems caused by changes made by you, your staff or another developer;
- work needed because a third party changed something, such as Shopify, a theme or app vendor, a hosting provider, a payment gateway or an API;
- large content entry, such as uploading product catalogues;
- urgent out-of-hours work.
If a request falls outside basic maintenance, you are told before any work starts, and nothing is charged until you approve a quote.
Third-party platforms
Most projects run on services Huyuzu does not own or control, such as Shopify, Cloudflare, hosting providers, payment gateways, email services and AI models. Huyuzu is not responsible for their outages, price changes, policy changes, account suspensions, data loss or security incidents. Their own terms apply to your use of them.
Intellectual property
- Once every invoice is paid in full, you own the final design and the custom code made for your project.
- Huyuzu keeps ownership of its own tools, libraries, templates and know-how that existed before your project or are not specific to it. You get a permanent licence to use them as part of your project.
- Third-party items (themes, fonts, plugins, stock media, open-source code) stay under their own licences.
- Huyuzu may show the finished work in its portfolio and name you as a client, unless you ask in writing for it to stay private.
No guaranteed results
Huyuzu will do the work with reasonable care and skill. It does not guarantee sales, search rankings, traffic, conversions, uninterrupted uptime or that software will be free of every error. No system can be made completely secure. Output from AI tools can be wrong, so you should check anything they produce before relying on it.
Security reviews
Security reviews are technical assessments carried out only with the written permission of the system owner. They are not certified penetration tests or compliance audits, and they cannot find every weakness.
Limitation of liability
- To the fullest extent permitted by law, the total liability of Huyuzu for any claim connected with a project is limited to the fees you actually paid for that project in the 3 months before the claim arose.
- Huyuzu is not liable for indirect or consequential loss, including lost profits, revenue, sales, data, goodwill or business opportunity, or losses caused by downtime.
- Huyuzu is not liable for losses caused by third-party services, by changes you or others make to the work, or by events outside its reasonable control, such as outages, cyber attacks, natural disasters or government action.
- Nothing in these terms limits any liability that cannot be limited under Malaysian law.
Indemnity
You agree to cover Huyuzu for any claim, loss or cost (including reasonable legal fees) arising from the content, materials or instructions you provided, your products or services, how you use the delivered work, or your breach of these terms.
Confidentiality
Both sides keep the other’s non-public business information confidential and use it only for the project. This does not cover information that is already public or that must be disclosed by law.
Ending a project
Either side can end a project with 14 days’ written notice. You pay for all work done up to the end date plus any costs already committed, and the deposit is not refunded. Work paid for in full is handed over; unpaid work is not.
Disputes
If something goes wrong, please raise it in writing first. Both sides will try in good faith to settle it within 30 days. If that fails, both sides agree to try mediation in Malaysia before starting court proceedings.
Governing law
These terms are governed by the laws of Malaysia, and the courts of Malaysia have jurisdiction. Huyuzu is an independent contractor, not your employee or partner. If any part of these terms can’t be enforced, the rest still applies. Huyuzu may update these terms; the version on the date you accept a quote applies to that project.
